General Terms and Conditions (as of 01/05/2023)
§1) When inquiring about a product or project production from vizzua.media (DI(FH) Reinhard Moser, Eichenstrasse 22/5, A-1120 Vienna, Austria), the customer will receive a project proposal that lists verbal or visual descriptions of the services, the amount of work (for each service), and the respective net total amount (excluding VAT)..
This offer is valid for 30 days after its submission and becomes binding for both parties, the customer and vizzua.media, upon the customer's signature.
§2)Vizzua.media commits to conveying the offer to the customer in an understandable manner, and once the customer has signed the offer, it becomes legally binding. All services stated in this form of offer are included in the specified gross total amount. Additional services beyond the scope of the offer will be separately agreed upon and invoiced in writing by both parties, unless otherwise specified in the contract (flat fee).
§3)In general, the full rights of use and exploitation for concepts, ideas, media, graphics, videos, and designs produced by vizzua.media, unless otherwise specified in the contract, automatically transfer to the customer upon payment of the invoice. Prior to that, vizzua.media retains all rights to the respective product or service. Associated project files created specifically for the project are not included in the offer and remain in the possession of vizzua.media but can be additionally purchased by the client
§4)Upon signing an offer, one-third of the agreed total gross amount of the offer is to be paid in advance, and the remaining balance is to be paid upon project handover or completion to vizzua.media. This will also be communicated to the customer in the offer.
In the event of an early project termination by the customer, vizzua.media reserves the right to enforce the completed contract unless otherwise agreed upon. The conditions specified in §5 apply. If a contract is mutually terminated by both parties before completion, all media, ideas, and rights to the created products remain with vizzua.media, unless otherwise agreed upon in writing.
§5) Payments for project collaborations must be settled by the customer within 14 working days after receiving the invoice. If this is not the case, the customer will receive two payment reminders (reminders) after an additional week each. If payment is not made within 4 weeks, vizzua.media reserves the right to take legal action against the customer. The associated fees and default interest from the total amount will also be invoiced to the customer.
§6) Only if specified in the offer, vizzua.media offers the customer a cash discount option of our choice if paid within 4 days of receiving the invoice.
§7)The customer may provide vizzua.media with material/content for the creation of the agreed product. The customer is obligated to ensure that this material is not protected by copyright. Vizzua.media assumes no responsibility or liability for any copyright infringement related to the signed contract/project and thereafter.
§8)All terms and conditions from contracted partners and subsidiary companies also apply to this offer for the client and can be requested additionally from us if needed.
